Heetii Terms and Conditions

1. Introduction

Welcome to Heetii, a platform that connects users with independent contractors for various handyman services. By accessing or using the Heetii website, mobile application, or any related services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the Platform.

2. Definitions

• "Heetii": Refers to Heetii Inc., its subsidiaries, affiliates, directors, officers, employees, agents, and licensors.
• "User": Any person or entity that accesses or uses the Platform, including those seeking handyman services ("Clients") and those providing handyman services ("Service Providers").
• "Services": The handyman services offered by independent Service Providers through the Platform.

3. Use of the Platform

3.1. Eligibility

To use the Platform, you must be at least 18 years of age and capable of entering into a legally binding agreement. By using the Platform, you represent and warrant that you meet these requirements.

3.2. Account Registration

Users must create an account to access certain features of the Platform. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary.

3.3. Prohibited Conduct

You agree not to:

• Use the Platform for any illegal or unauthorized purposes.
• Impersonate any person or entity or misrepresent your affiliation with a person or entity.
• Violate any applicable laws, regulations, or guidelines.
• Post, upload, or distribute any content that is defamatory, obscene, or otherwise objectionable.

4. Services Provided

4.1. Role of Heetii

Heetii is a technology platform that facilitates the connection between Clients and independent Service Providers. Heetii does not provide handyman services directly and is not responsible for the quality, safety, or legality of the services provided by Service Providers.

4.2. Independent Contractors

Service Providers are independent contractors and not employees, agents, or representatives of Heetii. Heetii does not control the manner or method of service delivery by Service Providers.

4.3. No Endorsement

Heetii does not endorse, recommend, or guarantee the qualifications, expertise, or performance of any Service Provider. Users should exercise due diligence when selecting and engaging Service Providers.

5. Payment

5.1. Fees

Users agree to pay all fees associated with the services provided through the Platform. Fees are set by the Service Providers and may vary based on the scope of work.

5.2. Payment Processing

Payments are processed through third-party payment processors. Heetii is not responsible for any errors or issues that arise during payment processing.

5.3. Refunds

All payments are final and non-refundable unless otherwise agreed upon by the Service Provider. Any disputes regarding fees or refunds must be resolved directly between the Client and the Service Provider.

6. Liability and Disclaimers

6.1. No Assumption of Liability

Heetii is not responsible for any damages, injuries, or losses arising from or related to the use of the Platform or the services provided by Service Providers. This includes, but is not limited to, any direct, indirect, incidental, special, consequential, or punitive damages.

6.2. No Warranties

Heetii provides the Platform on an "as-is" and "as-available" basis. Heetii makes no representations or warranties of any kind, express or implied, regarding the Platform, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

6.3. Limitation of Liability

To the fullest extent permitted by law, Heetii's total liability to you for any claims arising out of or related to the use of the Platform or services provided by Service Providers shall be limited to the amount you paid, if any, to Heetii for access to the Platform in the twelve (12) months preceding the event giving rise to the claim.

6.4. Indemnification

You agree to indemnify, defend, and hold harmless Heetii from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms, or your infringement of any rights of another.

7. Dispute Resolution

7.1. Arbitration

Any disputes arising out of or related to these Terms or the use of the Platform shall be resolved through binding arbitration in accordance with the rules of the [Arbitration Association]. The arbitration shall take place in [Location], and the arbitrator's decision shall be final and binding.

7.2. Governing Law

These Terms constitute the entire agreement between you and Heetii regarding the use of the Platform and supersede any prior agreements or understandings, whether written or oral.

10.2. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10.3. Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and Heetii's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
